These Terms and Conditions ("Terms") govern access to and use of the website, platform, and services operated by Offclass Pvt. Ltd. ("Offclass", "we", "our", or "us").
By accessing or using the Offclass website, platform, or services, you agree to be bound by these Terms.
1. About Offclass
Offclass is a technology-enabled education ecosystem platform that connects educational institutions, students, service partners, and other stakeholders to facilitate growth, operations, and collaboration. Offclass acts solely as a platform facilitator and does not itself provide educational instruction, employment, or guaranteed outcomes.
2. Eligibility
You must be legally capable of entering binding agreements and must provide accurate information during onboarding. Use of the platform constitutes confirmation of eligibility.
3. Account Registration & Onboarding
Offclass reserves the right to approve, reject, suspend, or terminate any account if information provided is inaccurate, misleading, or violates these Terms.
4. Scope of Services
Services may include, but are not limited to:
- Institution onboarding and discovery
- Student engagement and admissions facilitation
- Partner and vendor discovery
- Marketing, operational, and technology support
- Analytics and ecosystem insights
Service availability may vary and is subject to separate commercial arrangements.
5. Role of Offclass
Offclass does not guarantee:
- Student admissions or placements
- Revenue, enrollments, or performance outcomes
- Quality or delivery of third-party services
All transactions and engagements between users are independent.
6. Fees, Payments & Commercial Terms
Certain services are offered on a paid basis, including subscriptions, commissions, or transaction-based fees. All applicable fees will be communicated prior to engagement. Payments once initiated are subject to the Refund & Cancellation Policy below.
7. Refund & Cancellation Policy
7.1 General Principle: Offclass operates as a B2B platform and service facilitator. Fees paid are primarily for access to platform services, onboarding, visibility, technology usage, and facilitation. Accordingly, refunds are limited and subject to the conditions below.
7.2 Subscription Fees: Subscription fees are non-refundable once the subscription period has commenced. If cancellation is requested before service activation, Offclass may, at its discretion, process a partial refund after deducting administrative and onboarding costs.
7.3 One-Time Service Fees: Fees paid for one-time services (such as onboarding, listing, setup, or marketing initiation) are non-refundable once the service has begun.
7.4 Commission-Based Payments: Commissions earned by Offclass on successful transactions, leads, or service facilitation are non-refundable, as they are performance-linked.
7.5 Third-Party Services: Where payments relate to third-party services, refund eligibility will be governed by the third party's own policies.
7.6 Payment Failures & Errors: In case of duplicate payments or technical errors attributable to Offclass systems, verified amounts will be refunded within a reasonable timeframe.
7.7 Cancellation by Offclass: Offclass reserves the right to cancel or suspend services for violation of Terms, non-payment, or regulatory/compliance reasons.
8. User Responsibilities
Users must comply with all applicable laws and use the platform responsibly, ethically, and lawfully.
9. Intellectual Property
All intellectual property remains the exclusive property of Offclass or its licensors. Unauthorized use is prohibited.
10. Confidentiality
Users must maintain confidentiality of proprietary information accessed through the platform.
11. Data Protection & Privacy
All data processing is governed by Offclass's Privacy Policy, aligned with the DPDP Act, 2023 and GDPR, where applicable.
12. Suspension & Termination
Offclass may suspend or terminate access for violations, misuse, or legal requirements, without prejudice to accrued rights.
13. Disclaimers
Services are provided on an "as is" and "as available" basis without warranties of outcomes.
14. Limitation of Liability
Offclass's total liability shall not exceed the amount paid by the user to Offclass in the preceding 12 months, to the extent permitted by law.
15. Indemnification
Users agree to indemnify Offclass against claims arising from misuse, breach, or unlawful conduct.
16. Force Majeure
Offclass shall not be liable for delays or failures caused by events beyond reasonable control.
17. Governing Law & Jurisdiction
These Terms are governed by Indian law. Courts in Bangalore, Karnataka shall have exclusive jurisdiction.
18. Changes to Terms
Offclass may update these Terms periodically. Continued use constitutes acceptance.
